These Terms of Use ("Terms") govern your access to and use of canadianlegalnews.ca and related Canadian Legal News pages, articles, audio, source-document pages, search tools, forms, and other public-facing features (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Canadian Legal News is a news publication, not your lawyer
Canadian Legal News ("CLN," "we," "us," or "our") publishes legal news, reporting, commentary, summaries, source materials, and related information for general informational purposes. Nothing on the Site constitutes legal advice or should be treated as a substitute for advice from a lawyer or other qualified professional who has considered your particular circumstances.
Accessing the Site, reading an article, listening to an audio narration, contacting CLN, submitting a news tip, or communicating with an author, contributor, advertiser, or person mentioned on the Site does not create a solicitor-client, fiduciary, advisory, or other professional relationship with CLN or with any such person. A contributor's professional status does not transform editorial content into legal advice.
2. Editorial content, accuracy, and currency
We work to publish accurate and useful reporting, but legal developments can change quickly. A judgment may be appealed, reconsidered, stayed, varied, or superseded; legislation and regulations may be amended; and later facts or decisions may affect an earlier report. An article is generally written as of its publication or update date and may not reflect later developments.
CLN does not warrant that every item on the Site is complete, current, error-free, or suitable for any particular purpose. We may correct, clarify, update, annotate, relocate, or remove content when appropriate. If you believe an article contains a material error or overlooks a later development, you may contact us at the address below.
3. Primary legal sources and archived documents
CLN articles may summarize or link to judgments, tribunal decisions, legislation, regulations, court records, regulator materials, or other primary sources. Our summaries are editorial works and are not official versions of those sources. Where the precise legal effect of a judgment, order, statute, regulation, filing, or other primary material matters, consult the issuing court, tribunal, legislature, regulator, registry, or other authoritative source.
Where CLN makes an archival copy of a source document available, that copy is provided for reference and provenance. Unless expressly stated otherwise, it is not an official court, tribunal, government, or regulator copy. The issuing authority's version, later orders, corrections, sealing directions, publication restrictions, and other official records control.
4. Audio narration and automated features
Some articles may include audio narration or other features produced with automated or synthetic technology. These features are provided for convenience and accessibility. Automated narration can occasionally mispronounce names, citations, abbreviations, or technical terms. If an audio version differs from the written article, the written article is the controlling editorial version.
CLN may also use automated or AI-assisted tools in parts of its publishing and production workflow. Such tools do not change the informational nature of the Site, and readers should continue to verify consequential legal information against primary sources.
5. Intellectual property and permitted use
Unless otherwise indicated, CLN owns or licenses the original articles, headlines, summaries, selection and arrangement of materials, original graphics, photographs, audio, branding, site design, databases, and other original content created for the Site. Third-party materials, court and government materials, trademarks, and other content remain subject to the rights of their respective owners.
You may access the Site for lawful personal, educational, research, and other uses permitted by applicable law. You may link to CLN articles and make quotations or other uses permitted by the Copyright Act or other applicable law, including fair dealing where its requirements are met. Nothing in these Terms is intended to eliminate a right or exception that cannot lawfully be excluded by contract.
Except as permitted by law or with our prior written permission, you may not reproduce substantial portions of CLN's original content, republish articles in full, create a substitute or competing archive, sell or syndicate our content, remove attribution or rights notices, or use CLN branding in a way that suggests sponsorship, endorsement, or affiliation.
6. Automated access, scraping, and machine-learning use
General-purpose search engines may crawl and index publicly accessible pages for search and discovery in accordance with our machine-readable directives. Other automated access must be lawful, must not interfere with the Site, and must respect applicable technical restrictions.
Unless we expressly authorize it in writing or through a specific machine-readable permission, you may not systematically scrape, harvest, mirror, extract, or compile CLN's original content for bulk republication, creation of a competing database or news service, or training, fine-tuning, evaluation, retrieval augmentation, or other development of a generative artificial-intelligence or machine-learning model. This restriction is subject to rights and exceptions that cannot lawfully be excluded.
You may not bypass access controls, rate limits, security measures, or other technological restrictions, or use automated systems in a manner that imposes an unreasonable or disproportionately large load on the Site or its infrastructure.
7. News tips, contributor pitches, and other submissions
General contact messages are handled in accordance with our Privacy Policy. A news tip, contributor pitch, document, photograph, or other material submitted for editorial consideration is not confidential merely because it was sent to CLN, unless we expressly agree otherwise in writing. Do not send privileged, confidential, restricted, or unlawfully obtained material unless you are authorized to do so and understand the legal consequences of disclosure.
If you submit material specifically for possible publication, you represent that you have the right to submit it and that our review of the material will not itself violate another person's rights. If we accept material for publication, any publication rights, attribution, payment, exclusivity, editing rights, or other contributor terms may be addressed in a separate agreement or written communication. Submission alone does not require CLN to publish, respond to, return, preserve, or pay for material.
8. Advertising and sponsored content
The Site may contain advertising, sponsored content, or links supplied by advertisers and commercial partners. Advertising or sponsorship does not constitute CLN's endorsement of an advertiser, product, service, claim, or professional. Advertisers are responsible for their own representations and for compliance with applicable law.
Where we publish sponsored or paid content, we may identify it as sponsored, paid, promoted, partner, advertising, or by another reasonably clear disclosure. Separate advertising or sponsorship agreements, where applicable, govern the commercial relationship between CLN and the advertiser and prevail over these Terms to the extent of any conflict concerning that relationship.
9. Third-party websites and services
The Site may link to courts, governments, law firms, regulators, businesses, social platforms, media organizations, advertisers, and other third parties. Links are provided for reporting, attribution, convenience, or reference and do not necessarily imply endorsement. CLN does not control third-party websites and is not responsible for their availability, accuracy, security, privacy practices, content, or terms.
10. Prohibited uses
You may not use the Site to:
- violate applicable law or another person's rights;
- interfere with, disrupt, probe, attack, or compromise the Site, accounts, infrastructure, or security systems;
- introduce malware, malicious code, automated abuse, or deceptive traffic;
- impersonate CLN or another person, or falsely imply endorsement or affiliation;
- circumvent a publication ban, sealing order, access restriction, privacy order, or other binding legal restriction; or
- use CLN content or infrastructure in a manner prohibited elsewhere in these Terms.
11. Privacy
Our collection and handling of personal information in connection with the Site is described in our Privacy Policy. The Privacy Policy forms part of these Terms for purposes of explaining our information-handling practices, but it does not reduce any privacy right available under applicable law.
12. Site availability and changes
We may add, change, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee uninterrupted availability, permanent preservation of any article or feature, or compatibility with every browser, device, accessibility tool, or third-party service.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Site and its content are provided on an "as is" and "as available" basis, without representations or warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, non-infringement, availability, or security.
Nothing in these Terms excludes any warranty, condition, right, or remedy that cannot lawfully be excluded or limited.
14. Limitation of liability
To the fullest extent permitted by law, CLN and its owners, personnel, contributors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunity, or business, arising from or relating to the Site or your reliance on its content.
To the fullest extent permitted by law, CLN's aggregate liability for claims arising from or relating to your use of the freely accessible Site will not exceed CAD $100. This limitation does not apply to liability that cannot lawfully be limited or excluded.
15. Responsibility for your submissions and misuse
To the extent permitted by law, you are responsible for losses, claims, liabilities, and reasonable costs arising from material you submit for publication or from your unlawful or material breach of these Terms, including infringement of another person's intellectual-property, privacy, confidentiality, or other legal rights.
16. Governing law and jurisdiction
These Terms and your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. Subject to any mandatory law that gives you a different right, the courts of Ontario will have jurisdiction over disputes arising from or relating to these Terms or the Site.
Nothing in these Terms is intended to waive a consumer, privacy, statutory, or other right that applicable law does not permit you to waive.
17. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Site, our business, technology, or applicable law. The "Last updated" date above identifies the current version. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
18. General
If any provision of these Terms is held unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. Our failure to enforce a provision is not a waiver of that provision. These Terms do not create a partnership, joint venture, employment, agency, fiduciary, or franchise relationship between you and CLN.
If a specific CLN service, transaction, advertising arrangement, contributor engagement, or future paid product is governed by separate written terms, those specific terms will control to the extent they conflict with these Terms.
